There is absolute discretion about who gets shares in a placement, right? My suggestion to the board is any holder who sold after the brokers had started approaching potential investors is at the back of the queue if the placement is oversubscribed.
I agree it is not a bad raise, given how brutal raising can be on the SP. But if the company is in a position not to discourage what in my opinion looks like insider trading I hope they do.
They wouldn't even have to give a reason why.
Might be an idea to try a different broking firm next time also, for no reason.
