Get the feeling the entire purchase could have been paid with cash reserves or cash reserves/a bit of debt funding but management decided to have the acquired entity have instant skin in the game. It isn't horribly dilutive anyway.
Not as cheap as L7 but decent growth in recent years and opens a new market.
