It seems you are not factoring in the derisking and value adding events that will need to happen to get this deal over the line. This is where the value gets added and prospective Nasdaq investors may see enough value to invest at multiples of todays' market cap.
I expect as each event (DFS, BMW offtake, EUR / SZZL Shareholder votes etc) are completed it will trigger a rerate of EUR market cap. As it becomes clearer that the key risks have been eliminated, the US$750m or so valuation that has been provided for EUR 80% share will become more and more reasonable.
