I agree with your remark, that "unfortunately our regulators are as soft as a pensioner’s turd and standby watching the rich and criminal do as they like.". Whilst I'm unsure how soft a pensioner's turd might be IMO the final takeover value depends so much on the scruples and ethics of the target's management team - in a couple of takeovers I've experienced as a shareholder (SFI and PTB, each for cash) I have no doubt 100% of the target's value wasn't obtained, and wonder if there were other components offered to the target's management team that never saw the light of day.

From what I've observed so far I have more faith in Alan to negotiate on behalf of all shareholders, and he certainly will be a major recipient of any publicly announced takeover arrangement, which is comforting too.

takeovers that receive 100% scrip obtain rollover if structured correctly. Then only taxable at the takeover time if it’s a scrip + cash offer. This avoids an unfinished tax liability and preserves the cgt clock.
