Hi Stockcount,
There is a floor price if they decide to take equity instead of cash for one or more of the instalments (repayments) of diasource. There is no floor price on the earn out. In fact, it is also at a discount to the VWAP. I'm not making this up. I have said this over and over for months in a roundabout way.
