This is a poor deal, with poorly explained rationale and a dismal premium.
The independent expert's report is substandard and if the valuation assumptions were changed to what a reputable expert like Grant Samuel or Lonergan Edwards would have (i.e. on a similar basis to other gold transactions) the deal would definately be not fair (for example the expert doensn't consider gold futures in their pricing) and may not even be not fair but reasonable.
Surrendering control because management is inept is the real issue here.
Very poor outcome for shareholders - vote against the proposal!
