A take over is often at a premium to the current SP, it can be in the form of cash, shares in the take over company, or a combination of both. The offer is put to the directors who will inform the market as well as putting forward their recommendation. With NOR due to percentage holding of directors and top 20 I could not see a takeover succeeding without their recommendation. Regardless of the directors recommendation the market price of the shares will normally climb to the offer valuation.
