A further 5,633,803 of these shares will be issued conditional upon: · Timeone and SS&T signing their commercial agreement in respect of the provision of funds by SS&T to Timeone for the purposed of satisfying Timeone’s obligations under the Subscription Agreement; and · Timeone and Pluton signing the proposed joint venture term sheet on the terms contemplated below, prior to 25 April 2012 or such later date if agreed. The shares will be ordinary shares issued at 35.5 cents per shares and will raise an additional $2 million for Pluton. "
