You contradict yourself at every turn.
He is either for or against the issuance of shares.
You can't say he's against it based on is not voting for the resolution but in the next paragraph say t could come back to bite him because he could be in agreeance.
Please for once keep your response to the point and avoid the usual essay that rants on and on in circles.
