Moseley - I'm probably not communicating very well - but..
My reference to not needing more share holder approval was only for the conditional option (25.1%) - not the motion that needs to be passed re the deferred share rights (being "59,735,223 shares in the Company or 14.9% of the issued shares in ACE")
So AGS needs SH approval for the first 14.9% - and my interpretation (which may be wrong) is that asx have confirmed that SH approval is not required for the Option - so long as there is no variation to the Deed.
I may not be interpreting the rulings altogether correctly but, based on confidence in management and this wily win-win "deal", as I see it, we will be voting yes, of course - kind regds sis
