Regarding dilution, the directors can allocate the shortfall'at their discretion' during the next 3 months, therefore dilution will occur!.
A question? Do the directors have to disclose what price is paid for the shortfall shares and to whom they are issued?. Naturally if it causes someone to be a substantial holder it will have to be advised.
If the directors took up OR take up shares they will have to lodge a notice.
A long and painful exercise!.
