My understanding is that 5% gets it to a vote at a EGM/AGM then a majority vote for to pass it.
I share your frustration but cash back to shareholders will never fly, this is the sort of action for a company that is cash flow positive or has sold out major assets, the funds should be used to develop the company's resources and improve share value (which hasn't happened). I was at the last AGM and I am not happy with the past years performance.
