    LOL. It didn't need to be a sham. As we already knew “An offer is 'fair' if the value of the offer price or consideration is equal to or greater than the value of the securities the subject of the offer" so it was always going to be classed as fair with the shares trading below the offer. You have to admit they have played this well.
