ivabiggon - you are being far too optimistic in assuming that this deal will be done. The deal is not done today, and so it will only be done in the future if all required stakeholders can reach agreement. Only time will tell.

As for the underwriters - I haven't looked over all the documents but I suspect that the underwriters are not yet on the hook. they would currently be better described as "proposed underwriters" until such time as they sign a binding commitment. That's when the sections of the document that you extracted would become relevant.
