money in the bank?

If or when Fairstar gets its loan of $65million and then has met all the criteria for Alliance, then $260million will be credited .Just using simple maths (remember--this is not a loan that has to be repaid--its cash in the bank)$260,ooo,ooo divided by roughly 1.3 billion shares=$0.20 per share---in the bank----how could the share price be anything less than "cash on hand"
Please point me in the right direction if im wrong--or--why hasnt anyone pointed this out before?
