I too would smile if I were earning their salaries and at the same time be unaccountable and hanging in till retirement day with that big FAT super payout.
If the company goes belly up and becomes worthless they still get paid, zero accountability and close to retirement make them all just simple fat cats.

If they were my employees on past performances I would sack the lot and get some enthusiastic new blood in to turn this company around. Slow death spiral at the moment.

Good company CEO's get rid of dead wood early not after its too late.
