Looks like the sale seems to be progressing well, I don't imagine you wouldn't go to the extent of organising a new CEO (with the present CEO staying with Smart Pass) if it was in doubt.
2.6% of the net sale price to go to Management.
Purely guessing (and hoping) but I think they are looking conclude this about the time of the AGM.
