The 13.5c relates to the ratification of the previous CR.
The share plan relevant comment is this:
Issue price: The issue price of each Employee Share will be determined by the Board in its absolute discretion, which may be a nominal or nil amount, except that where a loan is offered in relation to Employee Shares, the issue price must be not less than the VWAP at which Shares were traded on the ASX over the 5 trading days up to and including the actual date of acceptance of the Employee Shares offered under the Offer
