More so than the bulk commodities and more common precious metals, graphite is a unique material, and even two nearby graphite deposits can and do vary wildly in their makeup. In a niche industry such as graphite, off-takes are extremely unique too. No two off-takes would be the same for graphite buyers/sellers, even if we call those documents the same thing.
If you have a buyer who wants your graphite, they will negotiate a unique off-take. These documents aren't off-the-shelf documents that you just cut and paste some clauses into. While some solicitors may have a basic template to start from, the likelihood is that many of them would start preparing those documents almost from scratch, given how many changes they would have to make to their template.
Importantly, because it's an individual agreement between a future buyer and a future seller, they can agree on whatever they choose to agree on. There is no banking rule that says "it's not an off-take unless it's from a JORC compliant resource" or "it's not an off-take unless you've got a mining licence" etc. Anyone who says otherwise is patently incorrect. Now, there will obviously be certain protection clauses in there, such as "the off-take will be subject to the granting of a mining licence by dd/mm/yy, failing which this contract will be cancelled", but if a buyer wants the product, they can and will sign a binding agreement well before milestones like JORCs, mining licences, and BFSs are due and met.
