Hi,
If they are so close then why enter into such an expensive debt deal. They have given away 1 million shares just as commitment fee (read the 3B lodged today) ie around $55,000 commitment fee on a $500,000 debt and that works out approx. 11% down payment. On top of that is 15% interest.
