Ann: Skilled Group to be acquired by Programmed, page-26

I'm new at this, so please excuse my ignorance, but how do existing SKE share holders sell Programmed shares that haven't been issued yet? I am assuming that when the deal goes through we get Programmed shares in lew of our Skilled shares then.

Can anyone recommend a source of information on this type of merger that beginners can understand?
