When the shorters borrow shares, especially institution to institution, there are a range of clauses in the contract. It is easy to have one that states if there is a cap raise the borrower of the shares will pay for it as return stock to institution.
Why institutions participate in this practice is beyond me, but a mate of mine who is a CEO of a large super fund stated it quite clearly, everyone else does it, so we have to.
The institution gets paid for lending out the shares, and the money earned constitutes part of the overall yearly performance of the group.
