If the shareholders at the AGM do not ratify the issue of Ordinary Shares then what happens? The company will have no funds to continue trading and will be insolvent? Some may argue "about time". Could the shareholders argue that they will only ratify the share deal if there are major changes in the Board. The current Board has lead the CTO into a "black hole". There is no reason why this won't continue and the so called "working capital" funds will again be wasted. Unfortunately not many shareholders show up at these AGMs and there is lucky to be a coram I am told. This leads to the problem of -"how bonafide these AGMs are?" My thoughts only. DYOR.
