Hi, threw that one in because of some 'have to" posts. Like you I don't let what I think is misinformation go unchallenged.
As for the indemnity clause, IMO pretty standard and the compensation would not extend to share price movements. In the case you suggest where they have the option of not underwriting but do, IMO it would be their decision to incur the loss, so no compensation.
