If an official announcement from the AZZ Directors states there are no conditions precedent, why should shareholders not be entitled to place full reliance on this statement. There are obligations on the type of statements that a Director is allowed to make (based on the Corporations Act and ASIC). If you can't rely on official statements from the Directors then on what basis can you come up with a valuation for anything. I am giving the Directors the benefit of the doubt unless I officailly hear otherwise, but I would imagine there would be severe repercussions if these statements turned out to be false, misleading or negligent.
