I have wondered too if SMM will put in a counterbid, but the VUL Board have all voted yes to the acquisition so obviously SMM has approved it too (they would have major Board rep) so I don't think that will happen. As for the 'destruction of shareholder value" please don't get my previous posts wrong, I only think it is a short term bump on the road. The shareprice might tank today because of the normal market reaction to an acquirers plan but in the long term this is nothing but good.
