Audit, Compliance and Risk Management Committee
Oversees and monitors the Group’s risk profile
Establishes the internal audit program
Establishes a sound risk management culture
Reviews and challenges Group Risk Reporting from management
Reports on risk to investors and other stakeholders
In relation to the above functions, the Committee has delegated authority to complete the detailed work and make recommendations to the Board.
However the Board retains the overall responsibility for these functions.

Head of Risk and Internal Audit
The Head of Risk and Internal Audit is directly accountable to the Chair of the
Audit, Risk & Compliance Committee in relation to risk management and the
internal audit function at a Group level
The Head of Risk and Internal Audit reports directly to the Chief Financial Officer
on the day to day operations of the Risk and Internal Audit function
Maintains the Group risk management and internal audit functions
Provides Group Risk Reporting to the Group Executive, Audit, Risk & Compliance
Committee and the Board
Supports Divisional management on risk management
The risk reporting and internal audit program provide the basis for the Group Managing Director and CFO giving the assurance to the Board in the form required under s295A of the Corporations Act and as recommended under the ASX Corporate Governance Principles (3rd Edition), that the financial statements for all financial periods are based on a sound system of financial risk management and internal control which is operating effectively.
