I was speaking with an acquaintance who has been involved in drafting and negotiating master licensing agreements yesterday. Here is a summary of our Q&A:

JTA: Do you know anything about master licensing agreements?

ACQ: Yes. They're voluminous and tiresome.

JTA: What do they deal with?

ACQ: They set out all the essential terms and conditions that will dictate the terms of every individual license agreement that is created between the parties. They're very long agreements. Big.

JTA: What do you mean "big"?

ACQ: I mean "mega". They are only used for mega transactions.

JTA: In your experience, what happens once a master license agreement is executed?

ACQ: The individual licence agreements are then negotiated.

JTA: In your experience, does the Master Licence Agreement sometimes fizzle out after its been executed, and there are not individual licence agreements afterwards?

ACQ: No. Never seen it happen, although anything's possible. As I said, Master Licence Agreements are for mega transactions. They are just the beginning of the mega transaction.
