Semi I disagree. Bergen's investment model is well known to the market. If you go for this kind of finance it is all in how you frame the entry and exit metrics and conditions.

Whilst it was classed as interest free it was hardly that. Booked as pre-paid interest they made significant money on this from minute 1 before the conversion of shares. Typical pattern of micro cap convertible note investing.
No good complaining about the past now but s/h should know what the "exit" conditions/limitations are to get a fair idea of what is ahead in the event of any good news.
Twin - you can legally structure around most of these rules and it can all be done 'off market'. ASIC would have limited scope/resources to do anything.
