What do you think happens to hold outs when another firm acquires a majority shareholding in another? No logic in having a consolidated subsidiary listed. Not saying that this is the desired course, but definitely not off the table, given the vast majority already in favour of a merger. If people are dumb enough to consider voting no, they should think through the potential scenarios.
