Corlett is already a named distributor for IOT's Roam-e

So he already has the synergy to sell both the hoverboard and Roam-e

So why the need for IOT to give his company a $1m loan facility and then pay him $10m in IOT script for 10% of his company that has no income?

If his company is so great, why does he want to sell it, with option for IOT to buy 100%?

Mind you, at $100m for 100% of a company that makes no money and has no product, I'd be selling too.
