    Now I understand it:

    STO is not paying $1.80 per share

    STO's cash outlay is the equivilent of $1.30 per share plus another $40 mil for a 30% stake in the new company only.

    The offer is not really $1.80 per share....from STO.

    Whats the old saying...

    Only fools rush in

    Lesson learnt.
