@ozblue do you still not understand that resolution 3 is for the company to be able to give performance shares instead of options? It's been explained to you ad nauseum.
Whether you vote yes or no to res 3 has NO bearing on the companies ability to give out options. All it allows is for the company to give performance shares instead which are more desirable, a fact that also has been explained to you ad nauseam.
