Ann: Incentive Option Issue, page-64

I am into share trading just few months and the third company to issue incentive bonus and second one to issue payment options of my portfolio of seven companies. What I dont understand is that is norm that the directors are issued shares or options before every potential good news. and contractors paid further options. If the companies need additional capital cant they go for rights issue rather than these or placing the share with sophisticated investors at a discount. And most of the time i find most of the holders are happy with these arrangements.
