I refer to the report of misconduct you lodged with us on 22 February 2017.

You have raised concerns about the decision to suspend RRP's securities from official quotation on 13 September 2016 and the continued suspension of the company's securities.

ASIC conducts an assessment of every report of misconduct we receive. After careful consideration of the information you have provided, we have not identified conduct which requires any regulatory intervention at this time. In the circumstances, ASIC does not propose to take any action in relation to your matter.

Voluntary suspension

As you may be aware, under ASX Listing Rule 17.2, the ASX may at any time suspend an entity's securities from quotation at the request of the entity. In this instance, the ASX has agreed to RRP's request for a voluntary suspension. This mechanism is intended to minimise disruptions to trading and to ensure that trading in securities does not occur on an uninformed basis. A voluntary suspension will generally only be granted for a specified period that the ASX considers reasonably necessary for an entity to manage its continuous obligations.

We note that RRP was suspended from official quotation on 13 September 2016. In limited circumstances, the ASX may agree to this action where the entity is reasonably of the view, and the ASX is satisfied, that reinstatement of trading in the company's securities is likely to be materially prejudicial to the company's ability to successfully complete a complex transaction that is, or series of interdependent transactions that are, critical to the company's continued financial viability.

Under Listing Rule 17.7, the ASX may end a voluntary suspension at any time. Any lifting of the suspension in relation to RRP may occur once the company makes an announcement that resolves or sufficiently clarifies the situation that led the company to request the voluntary suspension.

We understand that this may be a frustrating time for those affected by the suspended state of the company.
