In essence, the company is suing certain shareholders for defamation and because a company can't be defamed, the individuals being defamed (directors) now become the plaintiffs, therefore it is reasonable for the company to meet their expenses. Not a criminal offence
If I was to ask a reasonable man, "Who would be entitled to any benefits flowing from these actions ?", he would more than likely say, "The Company". Sounds like reasonable men are hard to find hanging around courts. How does ASIC go here ?
