Pan Andean is an investment holding company owned by John Newton and his wife Gaye. John is an Australian stock broker. Pan Andean currently holds approx 13.4M shares (or 3.92%) in KPO.

Lions Bay Capital is a 'CPC' (Capital Pool Shell) listing on the TSX. Don't ask me the ins and outs of a CPC but in short, it's a vehicle for sophisticated investors to take a 'promising active business public'. Similar to the RTO on the ASX perhaps?

On completion of the Pan Andean Capital acquisition, the BoD of Lions Bay Capital will consist of Ross MacLachlan, John Byrne and John Newton.

John Newton and John Byrne are currently both Directors and major shareholders in Jervois Mining (ASX:JRV).

IMO, this is all just backroom shuffling etc and really has little to no impact on the business activities of KPO going forward.
