"Grate assumption but DY are suppose to be able to vote"

No data to back your claim as per usual. I have held DY shares and did receive a one time dividend after one of the debt restructure. No proxies.

    From adrbnymellon.com:

    Depositary Receipt Proxy Solicitation
    Applicable U.S. Regulations

If you are a non-U.S. issuer, what U.S. laws apply to the solicitation of proxies for
    shareholder meetings?

All non-U.S. issuers are exempt from proxy solicitation rules under Regulation 14 of
the Securities Exchange Act of 1934, as amended.1
However, non-U.S. issuers listed on the New York Stock Exchange (NYSE), NYSE Amex or NASDAQ are subject to listing rules that may require solicitation of proxies for all meetings of shareholders.

I'll remind you the LYSDY ADR is listed on the OTC exchange since we know you have a terrible memory.
