Both your points are both valid, and disputable as well.
Why?
As long as there is no independent director to attend/verify/witness those events/contracts/figures, how do you know the f/c sales or mfg plans provided by SLA directors to asx are 'true and fair view', to borrow an external auditor's term.

I am merely asking questions, as a prudent investor.
