TC I have known the Towners for many many years...I took part in the last Sophisticated raising a few years back with TEG and this restriction was in place then..I spoke to Rob Towner this week to see if I could participated in the latest and it was too late especially with the news breaking after the price had been established. Fully subscribed (no brainer for a lucky few) The ASX will also probably demand a Cleansing Statement due to the disparity between the price struck and current market price...BTW the concept of 'Sophisticated Investor' goes back to the Great Depression (1930's) where it was put in place to protect the Mum and Dad investors from high risk placements. The irony is that there is less risk being offered these deals as an SI than an IPO
