More like he genuinely did not know the rules.
Why sell the shares at 3.7 cents, when they could simply initiate a dividend and pay everyone including themselves 3 cents per share. They have the cash.
More like, they’re transfering the shares as a gift to their mistress or illegitimate offspring, taking advantage of the low share price to save on taxes.
