The benefit of shareholders is in seeing the company grow, not in taking a quick cash out. There are people who have invested in SHV at share prices of over $7 up to the $13 value it had a couple of years ago.
The Board obviously thinks they can see the company grow to a value well in excess of the $5.85 that was bid. Currently, SHV are in a commodity low. When it is in a commodity high we might be able to say thank heavens we didn't sell out at $5.85.
