Directors have a duty of care to their shareholders NOT the Pattersons clients. So when the CR came in at 1.14 cents when the share price was around 2 cents they should have scaled back the CR to protect the interests of existing shareholders. Instead they went ahead and increased the CR from 1 million to 3.75 million dollars knowing that their existing shareholders had not participated and the full dilution would be around 40%. If the directors of this company recommend a vote for more shares we should demand their resignations based on a breach of the Corporations Act
