I guess this situation of not waiting for samples/BFS completed and dealing with other interested parties, and possibly missing out on a better deal can be sorted with the SK clause of pending shareholder approval.
This is a term sheet, surely that’s doesn’t stop management shopping around in the meantime for a better deal, especially with Flemington and Thack not being part of it.
Just vote no if there is a better deal out there when the time comes.
