You honestly think that Talley's are going to want to pi*s off the people managing their mine? (yes, I am pretty sure BRL manage BT Mining, and are paid a fee for doing so)
You honestly think you know better than the top dog (that is Richard) on the ground running the entire operation?
Seeing we are talking about trivial definitions, I thought I'd point out that a "number of matters" would not imply every single matter related to BT Mining, in fact it sounds like it could be a relatively limited 'number' of matters, that would, no doubt, be in favor of the majority shareholder who (and most importantly) is the one managing the mine (In case you haven't got it yet - Talley's are there for the coal - they don't have a clue how to mine it - so if they annoy those who do know how to do it, they will quickly find their so far very profitable joint venture, due to exceptional management by BRL, go south!)
