Unfortunately under cross examination Mrs Zipperlip might be forced to admit Mr Zipperlip once hit her (by accident) when swatting a fly and although it is a technicality it was enough to get an overzealous prosecutor to open the crack further. Pretty sure this is sounding like an episode of Hypothetical.
The original intention of PE is to make sure that a party without the financial or technical abilities isn't able to waltz into a JV. One side or the other is perverting the intentions of PE. One side didn't meet that criteria and the other might not have given adequate notification.
But we don't need to go over it again...do we?
