Im perplexed that you think MC is derived by number of shares out in the market?
MC is valuation buddy, SP on the other hand is a product of MC divided by number of shares issued. Hence people invest in co's when they think that MC will increase over time (i.e. co's generating profit and using this to expand to generate further profit) or where they believe a company is undervalued i.e. (MC undervalued).
