Resolution 6 ensures that a proportional takeover bid CANNOT be accepted without going to a shareholder vote. So I don't see the fuss here - it's just an added safety net.
Resolution 5 is up to the individuals to vote on. It's basically giving the board a blank check to issue an extra 10% additional shares (25% in total) based on the needs of the company. Personally I trust them enough to vote yes - they have more skin in the game than any of us so they have the same priorities. 2019 is going to be a huge year if our initial Candelas results come back positive, so I'm happy for them to raise this much capital as they need it, rather than coming back for votes each time. Potential costs to incur next year will be additional drilling, pilot plant design/construction, evaporation pond design/construction (or hopefully some other solution involving femaroles).
