The Board either recommend the offer or it doesn't, but if its binding and unconditional it has to be offered to shareholders. You 'vote' with your acceptance (on non-acceptance) of the offer.
Just the way it is. You can vote on share issues or director remuneration, but a takeover is a bid, not a vote.
