In answer to your question "Why ask to vote on shares already issued" the main reason is that without shareholder permission they can only issue 15% more shares (I think that figures right) in a 12 month period. By getting permission, even though it has already been done, then they could effectively issue another 15% during the year without having to go back to the shareholders.
